German GmbH in Dubai: Foreign Branch or New UAE Company? 2026 Checklist

November 5, 2026 · UAE business insights

Why this decision matters

A German GmbH expanding into Dubai must decide whether to establish a branch of the German parent or incorporate a separate UAE company. The decision affects liability, contracting, tax analysis, licensing and ongoing compliance. A cheap licence quote is not enough to make this choice.

Legal structure and liability

A branch is legally dependent on its parent, whereas a free-zone limited liability company is a separate legal person. DDA describes the branch as part of its parent. The German company should consider exposure to liabilities under branch contracts; a separate company may ring-fence some risks but guarantees and group arrangements still matter.

Choose the jurisdiction by actual operations

First identify the customers, business activities, goods or services, proposed office and employees. Dubai mainland and each free zone have distinct licensing rules. A free-zone licence does not automatically allow unrestricted mainland operations. Some activities require additional approvals; a branch’s activities may need to match the parent.

German corporate documents and attestation

Prepare a current German commercial-register extract, incorporation and constitutional documents, a branch-establishment resolution, manager appointment, identity documents and any powers of attorney. Authorities may require good-standing evidence. DDA specifically requires notarisation and UAE Embassy attestation for certain corporate resolutions and powers of attorney. Confirm translations and the exact attestation chain before paying for documents.

Seven practical implementation steps

Plan in sequence: (1) map customers and activities; (2) select jurisdiction; (3) assess branch versus subsidiary liability and German/UAE tax consequences; (4) adopt corporate resolutions; (5) legalise and translate documents; (6) apply for approvals and licensing; (7) prepare bank KYC, visa and renewal compliance. Banks independently assess ownership, funds, contracts and business substance; account approval is never guaranteed.

Official fees and realistic timelines

There is no universal Dubai branch price. As one authority-specific example, DDA lists AED 3,500 registration, activity-dependent licence fees, and AED 10 each in Knowledge and Innovation Dirhams per transaction. DDA estimates ten working days for provisional approval and two for registration, assuming a complete eligible application. These are DDA government figures, not a city-wide quote; office, attestation, translation, visas and TTM professional fees are separate.

Mistakes and tax cautions

Avoid assuming a branch has limited liability, that a free-zone licence covers all UAE sales, or that UAE incorporation removes German tax obligations. Review UAE corporate tax, VAT, transfer pricing and German tax consequences with qualified advisers.
